Terms of Service

These Terms of Service form a binding agreement between you and Lebit, LLC regarding your access to and use of TaxSOP, including our website, hosted application, and related services. If you use TaxSOP on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

You must be at least 18 years old and able to enter into a binding agreement to use TaxSOP. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

You agree to provide accurate account and business information and to keep it current. We may suspend or restrict accounts that contain false, misleading, or incomplete information.

TaxSOP is a software platform designed to support tax compliance workflows for foreign-owned U.S. entities, including transaction review, filing readiness workflows, document storage, and filing packet generation.

TaxSOP is a software product, not a law firm, CPA firm, tax preparer, or fiduciary. Nothing in the service constitutes legal, tax, or accounting advice, and you remain solely responsible for reviewing filings and determining whether a filing is complete and correct before submission.

You agree not to misuse the service. Without limitation, you may not:

• Use the service in violation of applicable law, regulation, or contractual restriction.
• Upload unlawful, fraudulent, or misleading business or tax information.
• Attempt to gain unauthorized access to systems, accounts, or data.
• Probe, reverse engineer, decompile, or otherwise interfere with the service.
• Use bots, scrapers, or automated means outside documented product functionality.
• Resell, sublicense, or provide unauthorized third-party access to the service.

As between the parties, you retain ownership of the information, files, and business records you submit to TaxSOP. You grant us a limited right to host, process, transmit, analyze, and display your data solely as necessary to provide, secure, and improve the service and to comply with law.

TaxSOP may integrate with third-party providers, including authentication, hosting, storage, analytics, and banking services. Your use of those third-party services is subject to their own terms and privacy policies, and we are not responsible for third-party products or outages.

If you purchase a paid plan, you agree to pay applicable fees and taxes. Pricing, billing periods, renewal terms, and cancellation rules may be described in product materials, checkout flows, or a separate order form. Unless otherwise stated, subscriptions renew automatically until cancelled.

We may suspend or terminate access to the service if you violate these Terms, create security or legal risk, fail to pay amounts due, or misuse the platform. You may stop using the service at any time, subject to any subscription commitments already agreed.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FIT FOR A PARTICULAR FILING OR COMPLIANCE OUTCOME.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEBIT, LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

You agree to defend, indemnify, and hold harmless Lebit, LLC and its affiliates, officers, directors, employees, and agents from and against claims, losses, liabilities, damages, costs, and expenses arising out of your use of the service, your data, or your violation of these Terms or applicable law.

We may modify the service and these Terms from time to time. If we make material changes, we may provide notice through the product, by email, or by updating the date above. Continued use of the service after an update takes effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the service will be resolved exclusively in the state or federal courts located in Delaware, unless applicable law requires otherwise.
